UPDATE: In the end, during the second investigation into Gregory Carrington, David Baines helped bring him to justice. In retrospect, after writing this article, I was a little hard on Baines- BC is the securities fraud capital of the world, and he has a hard job keeping on-top of things. Regardless, Carrington is busted now, and hopefully no others will be subjected to his criminality in the future.

I ran across a perverse advertisement for the British Columbia Securities Commission. Not perverse in a soft-porn sense like a TIDES Canada video, thank god. It’s much more perverse than that- it’s a propaganda video that misrepresents one of BC’s most inept law enforcement organizations as if they were effective.
When I say inept I’m being kind. We could only wish they were simply inept- the reality is that their ineptness (long ago) crossed the line into being a danger to BC (and consequently the rest of Canada). How bad are they? Glad you asked- they are, in fact, so bad that BC has become a global laughing stock for the poor quality of securities law enforcement.

I learned about the BCSC working as a technical director in a company that was fleecing its investors. I was a whistleblower, the first staff member to bring evidence to them about the fraud. When I went to their office for our first meeting they told me they had been investigating the company for some time. The problem is that they really didn’t know that much- including some of the basics that were already publicly available.
When I realized how inept they were I took the next step and called David Baines, the Vancouver Sun’s ‘intrepid’ securities fraud reporter. I was told that Baines was the man to talk to, and he was- but, there was nothing he could to to help us (the employees & victims I’d been working with).

But, what he had to tell me blew my mind…
Our story was a ‘non-story’ for the Vancouver Sun. First, frauds like what happened with my employer are a dime a dozen, and hardly worth reporting. More importantly, he had practically zero confidence that the BCSC would be able to act- despite the fact there were 10’s of millions of hard working people’s dollars stolen. He called the BCSC ‘toothless’ and told me we were wasting our time.
In the BCSC’s video they depict a con-artist on the phone with one of his victims. The victim has obviously figured out that he was being ripped-off and was trying to get him to give him his money back. The con-artist brushes him off and responds with a ‘the cheque’s in the mail’ tactic. So, the investor starts to get tough and threatens to call the BCSC.
In real-life this would be the point where the con-artist starts laughing hysterically to the point of spitting-up phlegm on the camera lens. It’s very obvious that the actor playing the con-artist has never had to turn to the BCSC for help- if he had, he’d probably not be able to play that part with a straight face. The world’s greatest actors would be challenged if they were in that position.
In real life, when the con-artist hears the knock on the door at the end of the video, his only fear would be vigilante justice. In the case of the company I blew the whistle on there were no arrests or charges laid. It was only earlier this year that the CEO got arrested- but, that was two scams later…
So, who cares? We’re talking about bankers ripping off bankers- right? Not quite, it isn’t as much the bankers who are getting ripped off in BC as it is the 99%. It’s mom, and pop, grandma & grandpa who lose their investments- banks have resources to investigate the claims of who they invest in.
The BCSC is a wart on BC’s economy, they are ineffective and dangerous. It’s really time for a change- and, with an election coming, now is the perfect opportunity for some enthusiastic candidate to campaign on a platform for fixing it. I can think of the perfect campaign slogan for them:
“It’s time for BC to get its dignity back…”.

DEAR BC SECURITES COMMISSION CEO BRENDA LEONG - WE ARE JUST GETTING STARTED!

Dear Brenda Leong,

 We write to first of all inform you as we have many times before that we will continue to attack and destroy the BC Securities Commission in every legal aspect we can. The BC Securities Commission is well aware of the crimes it has committed. If the BCSC was so concerned with maintaining integrity, ethics and a fair and unbiased legal process in the marketplace we would not have to do so. Mr. James Torrance has suggested that because we refused to let our civil rights be violated and have continued to fight on the behalf of our shareholders many of whom are close friends and family we are a threat to the integrity of the marketplace.

 I ask you Ms. Leong what is more of a threat to the financial marketplace and the public whom you are supposed to protect and serve?

 We reported fraud and we even reported our own possible contraventions under the Act. We were prepared to step down and pay the fines associated with any Contraventions. We all know however that the only Contravention of the Securities Act that we were found guilty of in the end should not have existed in the first place. Why has the BC Securities Commission been deceptive from the day we contacted them, why do they ignore the truth?

 The BCSC does have protection under Section 170 of the Act however only if the BCSC is acting in 'Good Faith'

 

 We ask you how can the BC Securities Commission be said to operate in good faith when it commits the following offences of which we have plenty of evidence for;

 Perjury.. The entire investigation is built on Ms Donders testimony yet she has lied more times then we have yet counted. Under oath, in her affidavits, every time she opens her mouth its a contradiction.

 Why deceive and mislead us for nine months after we come to you for help?.. we hire Securities attorneys and make every effort to be compliant, Mr Ting knew we wanted to save the U-GO Brands investors and instead of helping chose to lead us down a path of entrapment. Why all the lies?

 Why did the BCSC twice post the Thibert Accounts for the public to see?

Why did the BCSC send someone to break into my hotel room? Didn't have any evidence? As we have said before we are innocent. Why did the BCSC try to prosecute U-GO Brands directors for fraud almost a year after they knew we were not guilty?

 How can the BCSC have any credibility when it tells us transcripts for preliminary hearings don't exist? We know they did as we all said our name for the stenographer. Even if they didn't that's just as bad their is no justification for such arbitrary actions.

 Why illegally CTO bank accounts and then lie to cover it up?

Why the Choppers and surveillance teams, remember who our friends are did you think we wouldn't notice?

 Why does the BCSC hide from the truth?

 

 We all know that U-GO Brands never should have been shut down and the entire sham of an investigation never should have happened. We are just beginning the first phase of a multipronged campaign that will destroy the BCSC if needed. As we have stated before we do not want it to come to this but you have left us no choice.

Brenda its a shame it has come to this but you have left us no choice, we strived to be part of building a strong start-up culture here with integrity ethics and a very viable business. Your agency destroyed that in a criminal manner and will have to rectify the situation or face further consequences for it actions against us. TO THE BC PREMIER AND THE BC ATTORNEY GENERAL - THANK YOU FOR REACHING OUT TO TALK TO US

 

 

 Dear Mr. Sandstrom Assistant Deputy AG, The Honourable Premier Ms. Clark, The Honourable Suzanne Anton BC Attornery General,

  We would like to thank you for taking the time to listen to our concerns in regards to our experiences with the BC Securities Commission. We understand the inability to intervene in Securities cases or Criminal cases. It is out of complete frustration of dealing with a bureaucratic merry-go round where no one wants to take responsibility for Criminal actions committed by a govt agency that we have been contacting you.

 We apologize for our harsh critique of the BC Attorney Generals office and Ms. Christy Clark. Again we only are reacting to a long series of criminal abuse and do not trust anyone as we have been lied to and deceived for so long. Every Govt agency that could intervene or at least shed light or point us in the right direction has till now simply evaded, deflected or ignored our pleas for help.

Unfortunately when a Regulatory Govt Agency starts threatening you with goons, covering you with a surveillance net and sending black choppers to harass AFTER it has finished making an illegal judgment against you it doesn't help instill faith in Govt agencies to legally and properly fulfill their mandate.

 As a show of good faith and to thank Ms. Clark and Suzanne Anton for their time on this matter we have removed our harsh critique of them from our blog.

 While we certainly understand that the Securities Commission is separated from the BC government we do think that when this is all over it would be in the best interest of British Columbians for a hard look at how the Securities Commission is operating and strive to evolve it to a point where there is less conflict of interest inside the Commission. It would be in the best interest of the economy to ensure that due process and the Rule of Law are adhered to at all times.

 We have simply been fighting for our rights as citizens against a massive series of crimes perpetrated by the BCSC, for that we cannot apologize. We do apologize for a harsh critique of your offices, our issue is not with you so long as you do what is in your power to resolve this issue, we understand the limits of said power that keep you from intervention.  It is with the BC Securities Commission that we take issue given the Criminal abuse that we have undergone and from that we will not back down. We appreciate your concern regarding this matter.

2013 WIILLIAM TING BEGINS ENTRAPMENT PROCEDURES ON BEHALF OF BCSC

Contrary to the BC Securities Commission and its constant insistence that we were a danger to the public and failed to turn our minds to the law, this conversation between investigator William Ting and our Lawyer Theresa Tomchuck of Farris Law. We hired Farris to ensure compliance, we approached the BC Securities Commission in order to ensure that we could legally give all the old shareholders of Spyru shares in a new company - U-GO Brands and save their investments.
 U-Go Brands had a viable operation with product in a few hundred stores on the West Coast and 30,000 in US and Canada placing orders.

 We informed BCSC officials at the outset that we were aware some of the Spyru money raised would have contravened the Act and would pay any penalty involved including stepping down in order to ensure the continuance of U-GO Brands and the preservation of the shareholders capital.

 In the following email Mr. Ting begins what is a procedure of entrapment, Mr. Ting shows he is aware of our intentions to protect the U-GO Brands.. he lets things proceed..

Again more deception from the beginning on the behalf of the BCSC, they are aware of our plight and what we want to do to save the shareholders and yet they still continue to try to make a case based on lies.

 The Executive Director even has Securities Acts legislation that allows for exemptions in such cases as can be reasonably proven from certain provisions in the Act such as Distribution without a Prospectus. This is not a legal brief and I've typed a lot in the last few weeks and Im taking it easy for couple days so I will not include these aspects of the Securities Act at this time. However the lawyers all know exactly what I'm talking about. Why are they all silent if we are lying? 

 These exemptions are there to ensure there is an opportunity for justice in unique circumstances such as the U-GO Brands/Spyru case.

 Such clear disregard for the law, due process, and the truth however outline that this was a malicious vindictive prosecution from the beginning based on deception and lies on the part of the BC Securities Commission.

TALES FROM A DEAD MANS GRAVE

 

 The BC Securities Commission constantly uses evidence it knows to be untrue in order to back its lies.

 I will support our position with more evidence from our early dealings with the BC Securities Commission, shortly after we contacted them to report Klaus Glusing CEO of Spyru Inc. was embezzling funds from the company located in the Turks and Caicos. Klaus Glusing had been Peter Harris's boss and mentor for over two decades, Peter Harris had been a VP with cast lines where Klaus was CEO.
 Although they hadn't talked in some time Peter did not think twice regarding helping Klaus and his son Mark Glusing when they needed help bringing Spyru to market.

 Among the constant lies perpetrated by the BC Securities Commission is their insistence they looked into the affairs of Klaus Glusing and found no evidence of wrongdoing. This is contrary to what Mr. Harris discovered when they hired a detective agency to investigate and discovered that the BCSC was aware of Klaus Glusing committing fraud in the 90's in a case involving Valueship. Mr Peter Harris was not aware of Mr. Glusings involvement nor was he party or accomplice in the defrauding of Spyru investors as they had not had contact for well over a decade.

 The following will display contrary to the statements and evidence provided by the council for the Executive Director that Mr. Klaus Glusing was in charge of Spyru, Mr. Cire and Mr. Harris had no control over Spyru. Why then did the BC Securities Commission continue to try to prosecute them for fraud?

Klaus taking presidency of Spyru as evidenced through these copies of email communications that took place. Keep in mind we have dozens have these types of emails however the BC Securities Commission can only provide us with one email to evidence their claims. One where BCSC officials contact Klaus Glusing in regards to the fraud and Klaus says that Mr. Harris and Mr. Cire are in charge and he has nothing to do with the money. Subsequently Klaus Glusing deceives Mr Ting

Further evidence on Mr. Harris and Mr. Glusings relationship, Mr.Glusing indicates he is not happy with Mr. Harris's work on Spyru in Kelowna despite the success to get it on shelves. Around the same time Mr. Harris is discovering his former boss has betrayed them and is robbing them blind, hence the distracted work.

   What these and other communications make clear is that we have told the truth in relation to Spryu from the beginning. Klaus Glusing was the Boss, the money as the BC Securities Commission knows and knew when it attempted to prosecute us for fraud anyways was never in the control of Cire and Harris as they were not in control of Spryu.

Here are continuing allegations of Fraud despite the BC Securities Commissions knowledge that not only are Mr. Cire and Mr. Harris not guilty of these charges, even if they were the BCSC did NOT have jurisdiction to prosecute them for the alleged crime.

 The BCSC regardless of this information continued to attempt to prosecute the respondents for fraud in Oct of 2014. William Ting was aware in July 2013 that Klaus Glusing was in charge of Spyru, hence he wrote him an email and got the response shared above from Klaus. BCSC officials were aware of who was in charge of Spryu in 2013 but decided to ignore the truth to attempt to railroad Mr. Harris and Mr. Cire. Klaus Glusing died shortly thereafter.

 Just one of many reasons we do not trust the BC Securities Commission, one never knows if they are telling the truth.
